圖／示意圖商傳媒｜方承業／綜合外電報導美國那斯達克（Nasdaq）近日宣布，將提高其那斯達克資本市場（The Nasdaq Capital Market）首次公開發行（IPO）的最低股價要求至每股4美元，此舉將對計畫在該市場掛牌的新創公司帶來影響。這項新規定已獲美國證管會（Securities and Exchange Commission）核准，並預計於2026年10月30日正式實施。 根據《The National Law Review》報導，這項修正案於2026年9月30日由Nasdaq提交，並於10月7日獲得美國證管會公告生效。過去，在那斯達克資本市場上市的公司，除了符合特定財務標準外，可透過替代的最低股價要求（Minimum Price Requirement）通道，以每股2美元至4美元的價格掛牌。最低股價要求是指公司股票上市時必須達到的每股最低交易價格。那斯達克資本市場是那斯達克市場中，對中小型企業上市要求門檻相對較低的板塊。 新規上路後，所有申請在那斯達克資本市場首次上市的公司，將不再有上述替代選項，一律必須滿足每股至少4美元的統一最低股價門檻。首次公開發行（IPO）是企業首次公開向大眾發行股票，讓股票能在證券交易所買賣的過程。 Nasdaq此次調整上市規則，主要原因在於市場競爭環境的變化。Nasdaq此前導入較低的最低股價要求，是為了與當時唯一允許股價低於4美元掛牌的美國證券交易所（NYSE American）競爭。然而，美國證券交易所已於今年稍早取消了其低於4美元的上市標準，使Nasdaq失去了維持原有替代標準的競爭性理由。Nasdaq認為，此舉也有助於消除可能導致證券易受市場操縱的上市規定。 這項修正案不會影響先前已透過替代標準在那斯達克掛牌的公司，但Nasdaq將持續監控這些發行人。若其不再符合舊有標準且未滿足其他「仙股」（penny stock）定義的排除條件，Nasdaq將在官方網站上公開其名單，這可能為這些公司的證券交易經紀商帶來額外義務。 對於目前正在申請上市或考慮在那斯達克資本市場掛牌的公司來說，新規定將可能使其需要重新調整交易條款、時程，甚至組織結構與相關文件。部分公司可能需考慮進行反向股票分割（reverse stock split）或其他公司行動，以達到每股4美元的最低股價要求。
